[LEGAL ENTITY]) mark details that must be finalized before this becomes binding.1. Service description
Behalf (“Behalf”, “we”, “us”) provides delegation governance for AI agents and human delegates. The service lets you authorize limited, time-bound access through its managed execution path and inspect action records. Connected-account sign-in is handled by Anchor; Behalf stores identity references and encrypted browser capabilities.
These Terms form a binding agreement between you and [LEGAL ENTITY] governing your access to and use of the Behalf application, APIs, and related services (the “Service”).
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your registration information and for keeping your account credentials secure.
3. The delegation model
Behalf operates on a delegation model. When you create a delegate or connect an AI agent, you explicitly authorize a scoped grant — a set of permitted actions, rate limits, and a time window — that the delegate may exercise on your behalf.
You are responsible for the delegates and agents you authorize and for all activity that occurs under your account and grants, including actions taken by any human or AI delegate you enable. You may revoke a grant at any time. Revocation blocks new dispatches and is checked before a managed write commits. It may not cancel an action already in flight or undo an action the destination has accepted. Browser cleanup is a separate operation.
4. Acceptable use
You agree not to use the Service to:
- Access any third-party account or system you are not authorized to access, or to violate the terms of any service you connect.
- Circumvent rate limits, scopes, or other policy controls of any connected service.
- Engage in unlawful, fraudulent, abusive, or infringing activity, or to send spam or unsolicited messages.
- Reverse engineer, resell, or overload the Service, or interfere with its security or integrity.
You are solely responsible for ensuring that delegating access to a given account is permitted by that account’s provider.
5. Subprocessors & AnchorBrowser
To operate delegated sessions, Behalf uses AnchorBrowser as a subprocessor. Delegated browser sessions are created and managed by AnchorBrowser; the credentials used to authenticate to your connected services are managed by Anchor, including saved identity and browser profile information. Behalf stores identity references and encrypted browser capabilities for managed execution. A full list of subprocessors is described in our Privacy Policy.
6. Billing, plans & cancellation
Paid plans are billed in advance on a recurring basis through our payment processor. A valid payment method may be required before you can connect an account. Fees are non-refundable except where required by law.
You may cancel at any time. On cancellation or downgrade, scoped grants and active sessions that exceed your plan are revoked, and access ends at the conclusion of any applicable grace period.
7. Intellectual property
The Service, including its software, design, and brand, is owned by [LEGAL ENTITY] and protected by intellectual property laws. You retain ownership of your data; you grant us a limited license to process it solely to operate and improve the Service.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, Behalf and [LEGAL ENTITY] will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Service. Our aggregate liability for any claim will not exceed the amounts you paid to us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Behalf and [LEGAL ENTITY] from any claims arising out of your misuse of the Service, your violation of these Terms, or actions taken by delegates or agents you authorized.
11. Termination
We may suspend or terminate your access if you violate these Terms or create risk for the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of [GOVERNING LAW / JURISDICTION], without regard to conflict-of-laws principles. Any dispute will be resolved in the courts located in [VENUE].
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after an update constitutes acceptance of the revised Terms.
